fa تأثیر عدم رعایت الزامات قانونی مربوط به افشای اطلاعات بر اعتبار و لزوم معاملات سهام حقوق خصوصی Pivate Law تحقیقات بنیادی یا نظری Research <div style="text-align: justify;"><span style="font-family:IRLotus;"><span style="font-size:13.0pt;">به واسطۀ ویژگی‌های خاص اوراق بهادار در قرارداد‌‌هایی که موضوع آن‌ها اوراق بهادار است، آگاهی یافتن طرفین بر آنچه سبب رغبت طرفین قرارداد نسبت به این اوراق می‌شود، دشوار است. بر همین اساس مطابق قانون بازار اوراق بهادار و دستورالعمل‌های مربوطه، ناشران اوراق بهادار در بازار اولیه و ثانویه مکلف به افشای اطلاعات مهم مربوط به اوراق بهادار هستند. هدف اصلی از تحمیل این تکلیف بر ناشران آگاه‌سازی سرمایه‌گذاران و ایجاد امکان تصمیم‌گیری آگاهانه برای ایشان درخصوص معامله بر اوراق بهادار است. بحثی که در این مقاله مطرح است این است که عدم رعایت الزامات قانونی مربوط به افشای اطلاعات چه تأثیری بر اعتبار و لزوم معاملات سهام خواهد داشت. به عبارت دیگر اگر ناشر اقدام به افشای اطلاعاتی که افشای آن‌ها لازم است ننماید و برخی سرمایه‌گذاران تحت تأثیر این موضوع اقدام به انعقاد معامله کنند؛ آیا معاملۀ مذکور را می‌توان حسب مورد باطل یا قابل‌فسخ تلقی نمود؟ اجمالاً می‌توان گفت که نمی‌توان به‌طور کلی امکان بطلان یا قابل‌فسخ شدن قرارداد مذکور را نفی نمود و در موارد محدودی ممکن است عدم رعایت الزامات مذکور حسب مورد زمینه‌ساز بطلان قرارداد یا ایجاد خیار فسخ در قرارداد شود. </span></span></div> <div style="text-align: justify;"></div> Due to the specific characteristics of securities, in securities contracts it is difficult for the investors to have the information which is necessary for entering into the contract. Accordingly, in accordance with the Securities Market Act and the relevant regulations, the issuers of securities, in the primary and secondary markets, are required to disclose material information about securities. The main purpose of imposing these requirements on issuers is to inform investors and make it possible for them to make informed decisions about securities transaction. The main question of &nbsp;this article is if the failure to comply with legal disclosure requirements will affect the validity or necessity of securities transactions. In other words, if the issuer don&rsquo;t disclose all the material information, and some investors buy or sell the securities for these information; can the transaction be considered void or voidable?
