fa باز پژوهی اصل تساوی بستانکاران در تصفیه شرکتهای تجارتی، بررسی تطبیقی در حقوق ایران و انگلستان حقوق خصوصی Pivate Law تحلیلی و انتقادی Critical & Analisis چکیده:<br> وقتی شرکتی در معرض تصفیه اموال قرار می گیرد، شاید مهم ترین بخش تصفیه اموال شرکت، &nbsp;نحوه توزیع دارایی میان بستانکارن باشد. &nbsp;سابقا هنگامی که یک شرکت تجاری ورشکست می شد، بستانکاران برای وصول طلب خود به شرکت هجوم می آوردند و چنین تصور می شد که هر که زودتر به بدهکار برسد سهم بیشتری خواهد برد. از این رو سالیان متمادی است که &nbsp;اصل تساوی بستانکاران به مثابه سنگ بنای تصفیه دارایی بدهکار تلقی میگردد و بر اساس آن طلب تمامی طلبکاران بدون وثیقه به یک نسبت پرداخت می شود.&nbsp; به مرور زمان و &nbsp;با افزایش استثنائات متعدد وارد به اصل &nbsp;کم کم این تصور ایجاد شد که اصل تساوی &nbsp;از هدف اصلی&nbsp; دور شده و به نوعی کارایی خود را از دست داده است. همچنین تغییر رویکرد حقوقی کشورها در راستای بقا و حیات شرکت های تجارتی&nbsp; برخی را به سمت پیش بینی ومعرفی راهکاری جایگزین برای اصل تساوی بستانکاران سوق داد.&nbsp;&nbsp; با این حال با توجه به اینکه فلسفه اصل تساوی بستانکاران برقراری سازو کار توزیع عادلانه و حمایت ازطلبکاران است، همچنین نظر به آنکه قوانین تجارت باید در خدمت تسهیل تجارت و رونق سرمایه گذاری قرار گیرد، به نظر می رسد می توان با حفظ اصل تساوی بستانکاران و تجویز برخی قراردادهای فی مابین بستانکاران و شرکت تجاری در مورد توزیع دارایی ، با قوت بیشتری اهداف فوق الذکر را دنیال کرد .&nbsp;<br> کلید واژه ها: اصل تساوی بستانکاران، تصفیه، ورشکستگی ،&nbsp; تقسیم اموال ورشکسته.<br> <br clear="all" > &nbsp;<br> &nbsp; <strong><span dir="LTR">Abstract</span></strong><br> <span dir="LTR">When a company exposed to liquidation process the most important question is how its property should distribute between creditors.</span><br> <span dir="LTR">Since after the bankruptcy, creditors scramble to the property of&nbsp; insolvent an orderly and systematic framework is needed to scheduled this process in order to avoid more detriment and assist the insolvent to reorganize the business.</span><br> <span dir="LTR">Principle of equality of creditors or Pari passu is the fundamental principle in liquidation process and it means all the unsecured creditors are equally managed with out any display of preference.</span><br> <span dir="LTR">Recently, with augmentation of different types&nbsp; of&nbsp; exceptions, many lawyers suppose that the principle did not have efficiency anymore.</span><br> <span dir="LTR">&nbsp;New approach of legal system toward reorganization ofcompanies is another reason for them to &nbsp;try to render alternative solutions for pari passu.</span><br> <span dir="LTR">In our &nbsp;country trade law, the principle of equality of creditors did not expressly presented and there for, this article is to analysis new prospect of principle to help the internal legislator to provide a comprehensive approach toward this principle and ways of distribute the insolvent property.</span><br> <br> &nbsp; کلید واژه ها: اصل تساوی بستانکاران, تصفیه, ورشکستگی , تقسیم اموال ورشکسته Key words: principle of equality of creditors,liquidation,bankruptcy-insolvency,distribution of insolvent property 210 238 http://jlviews2.ujsas.ac.ir/browse.php?a_code=A-10-2221-1&slc_lang=fa&sid=1 Alireza Aali panah علیرضا عالی پناه alipanah_a@yahoo.com 1465410627 10031947532846008073 Yes shahid beheshti university دانشگاه شهید بهشتی narges golpayegani نرگس گلپایگانی n.golpayeganii@gmail.com 0074974718 10031947532846008074 No shahid beheshti university دانشگاه شهید بهشتی
