fa جایگاه قاعده تفسیر علیه انشاء‌کننده در تحقق عدالت توزیعی در حقوق قراردادها حقوق خصوصی Pivate Law تحقیقات بنیادی یا نظری Research <div style="text-align: justify;"><span style="font-family:IRLotus;"><span style="font-size:13.0pt;">برقراری موازنه میان طرفین قرارداد، همواره یکی از دغدغه‌های اصلی نظام‌های حقوقی بوده است. امروزه با توجه به پیچیده شدن قراردادها و تغییر فاحش قدرت معاملاتی طرفین قرارداد، لزوم بازنگری در برخی قراردادها مورد توجه دکترین و رویۀ قضایی قرار گرفته و یکی از مصادیق آن، قاعدۀ تفسیر علیه انشا‌کننده است. این قاعده که به‌موجب آن، ابهامات قرارداد علیه انشاکنندۀ آن تفسیر خواهد شد، یکی از جلوه‌های اجرای عدالت توزیعی در قراردادهاست که در مرحلۀ تفسیر قرارداد اعمال می‌شود. چالش اصلی این مقاله بررسی کارکرد قاعدۀ تفسیر علیه انشاکننده در تحقق عدالت توزیعی است. در انتهای این مقاله مشخص خواهد شد که این قاعده از نقشی تعدیل‌کننده در کلیۀ قراردادهای الحاقی، یک‌طرفه، استاندارد و سایر قراردادها برخوردار است. وجود قدرت کنترل انشا‌کننده بر قرارداد، کاهش ابهام در متن قرارداد و امکان اجرای عدالت از مهم‌ترین مبانی اجرای این قاعده است. </span></span></div> Establishing a balance between the parties to the contract has always been one of the main concerns of the legal system. Today, due to the complexity of the contracts and the dramatic change in the bargaining power of the parties to the contract, the need for revision of some contracts has been addressed by the doctrine and judicial procedure, and one of its examples is the rule of interpretation against the author. This rule, by which the ambiguities of the contract will be interpreted against the author of it, is one of the effects of the implementation of distributive justice in contracts, which is applicable at the stage of the interpretation of the contract. The main challenge of this paper is to examine the functioning of the rule of interpretation against the author in the realization of distributive justice. At the end of this article, it will be determined that this rule has a moderating role in all extensions, unilateral, standard and other contracts.
